1. Scope and Acceptance of Terms

These Terms of Service govern the use of the CV Matcher platform (“the Service”), operated by neuraforce GmbH, Dora-Koch-Stetter-Weg 22, D-18055 Rostock, Germany.

By accessing and using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

CV Matcher is an AI-powered platform that analyzes and matches CVs against job requirements. Our service provides:

  • CV analysis and metadata extraction (e.g., name, contact details, qualifications)
  • Job requirement processing
  • Matching score generation on a scale of 0 to 10
  • Real-time progress tracking of processing operations
  • Result visualization and management

3. User Responsibilities

As a user of our service, you agree to:

  • Ensure you have the necessary rights and consents to upload CVs and job postings
  • Not upload harmful, unlawful, or malicious content
  • Use the service exclusively for legitimate recruitment purposes
  • Comply with all applicable data protection laws, in particular the GDPR
  • Maintain the security of your login credentials

4. Data Protection Responsibility for Uploaded CVs

When uploading CVs, you process personal data of third parties (e.g., names, addresses, photos, contact details of applicants). You are responsible as a data controller within the meaning of Art. 4(7) GDPR for the lawfulness of this data processing.

You confirm that you have a valid legal basis (e.g., consent of applicants or legitimate interest pursuant to Art. 6(1) GDPR) for the transmission and processing of this data through our service. neuraforce GmbH acts as a data processor pursuant to Art. 28 GDPR in this regard.

5. Account Security

You are responsible for maintaining the confidentiality of your account and password. You accept responsibility for all activities that occur under your account. Please notify us immediately of any unauthorized use of your account.

6. Intellectual Property Rights

The Service and its original content, features, and operating environment are and will remain the exclusive property of neuraforce GmbH and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all CVs, job descriptions, or other content that you upload to our Service. By uploading content, you grant us a non-exclusive, time-limited license to process and analyze such content solely for the purpose of providing our matching service. This license expires upon deletion of the content.

7. AI Processing and Results

Our Service uses AI algorithms to generate matching scores and recommendations. These results are generated automatically and serve solely as a decision-support tool – they do not replace human judgment in recruitment decisions.

In accordance with Art. 22 GDPR and the EU AI Act (EU) 2024/1689, we inform you that the results are based on automated processing. No decision based solely on automated processing that produces legal effects or similarly significantly affects applicants is made, as the final decision always rests with the user.

CV Matcher does not guarantee the accuracy, completeness, or suitability of AI-generated results. Users are obligated to review the results using professional judgment before making recruitment decisions.

8. Privacy and Data Protection

Your privacy is important to us. The collection and processing of your personal data is described in our Privacy Policy, which forms an integral part of these Terms of Service.

9. Prohibited Uses

You may not use our Service to:

  • Discriminate on the basis of protected characteristics (e.g., gender, origin, religion, disability)
  • Harass, abuse, or harm others
  • Upload false, misleading, or unlawful information
  • Violate applicable laws or regulations, in particular the German General Equal Treatment Act (AGG) and the GDPR
  • Attempt to extract, decompile, or reverse engineer our algorithms
  • Use the Service for competitive analysis or automated scraping
  • Use the Service in a manner that compromises system security or the rights of other users

10. Limitation of Liability

neuraforce GmbH is liable without limitation for damages arising from injury to life, body, or health caused by negligent or intentional breach of duty, as well as for damages caused by intent or gross negligence.

In cases of slight negligence, neuraforce GmbH is only liable for breach of a material contractual obligation (cardinal obligation) and only up to the amount of foreseeable, typically occurring damages. Material contractual obligations are those whose fulfillment is essential for the proper performance of the contract.

Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.

11. Term and Termination

The usage agreement is concluded for an indefinite period and may be terminated by either party at any time without stating reasons with 14 days’ notice.

The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular if the user materially violates these Terms of Service.

In the event of termination, we will delete your uploaded data within 30 days, unless statutory retention obligations apply.

12. Changes to the Terms

We reserve the right to modify these Terms of Service. You will be notified of material changes at least 30 days before they take effect by email or through a prominently visible notification on the platform. Continued use of the Service after the changes take effect constitutes acceptance of the modified terms.

13. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If the user is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contractual relationship is Rostock, Germany. Mandatory statutory provisions regarding exclusive places of jurisdiction remain unaffected.

14. Severability Clause

If any provision of these Terms of Service is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected. In place of the invalid provision, a valid provision shall be deemed agreed upon that most closely approximates the economic purpose of the invalid provision.
